Terms of service
Last updated 21 October 2026
The short version
- Organimate is for businesses. You're responsible for using it lawfully, especially when you send email.
- Your data stays yours. We process it only to provide the service, under the data processing terms in section 12.
- We can pause sending or suspend accounts that break our Acceptable Use Policy or put others at risk.
- During the private preview the service is free and provided as it is.
1. About these terms
These terms form an agreement between Organimate Ltd (“Organimate”, “we”, “us”) and the business or organisation that uses Organimate (“you”, the “Customer”). Organimate Ltd is a private limited company registered in England and Wales under company number 17532202, with its registered office at 82a James Carter Road, Mildenhall, Bury St. Edmunds, England, IP28 7DE.
By creating an account, accepting an invitation to a workspace or using the service, you agree to these terms, our Acceptable Use Policy and, where it applies, any order form we agree with you. If you accept on behalf of an organisation, you confirm you have authority to bind it. If an order form conflicts with these terms, the order form wins.
Organimate is provided only to businesses and other organisations, for their business purposes. It isn't available to consumers.
2. Definitions
- Service: the Organimate platform, including its web application, APIs, automation flows, email sending, recipient pages and related support.
- Users: the people you allow to use the Service under your account.
- Customer Data: all data that you or your Users put into the Service, or that the Service collects for you, including data about your Contacts.
- Contacts: the people whose details you store in the Service, including the recipients of your Messages.
- Messages: emails and other communications you send using the Service.
- Data Protection Law: the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003 (“PECR”), and any other data protection or electronic marketing law that applies to the processing concerned.
3. Private preview
The Service is currently in private preview. Access is by invitation, free of charge unless we agree otherwise in writing, and provided “as is” and “as available”. Features may change, be limited or be withdrawn during the preview. We will give you at least 30 days' notice before any charges apply, and you will be free to stop using the Service instead.
4. Accounts and access
- You are responsible for your Users and everything done under your account. Make sure every User follows these terms.
- Keep passwords, multi-factor authentication devices and API keys confidential. Don't share accounts between people. We strongly recommend multi-factor authentication for every User.
- Tell us promptly at hello@organimate.co.uk if you suspect unauthorised access to your account or keys.
- Users must be 18 or over and provide accurate information.
5. Your responsibilities
You must use the Service lawfully and in line with our Acceptable Use Policy. In particular, you are responsible for:
- complying with Data Protection Law and with the laws of the countries your Contacts are in, such as the EU GDPR and ePrivacy rules, CAN-SPAM in the United States, and CASL in Canada;
- having a lawful basis for all Customer Data, and any consent required by PECR or similar laws before sending marketing Messages or tracking how Messages are opened and clicked;
- giving your Contacts the information the law requires about how you use their data;
- the accuracy, quality and legality of Customer Data and the content of your Messages; and
- using your own sending domains only after authenticating them as the Service asks, and only for domains you are entitled to use.
6. Sending email
- Messages are delivered using third-party infrastructure (currently Amazon Simple Email Service). Their requirements apply to you through these terms. We do not guarantee that any Message will be delivered, reach an inbox, or be delivered by a particular time.
- Marketing Messages must include an unsubscribe option. The Service adds one automatically, and you must not remove, hide or interfere with it. Unsubscribes, hard bounces and spam complaints are recorded automatically, and those addresses are suppressed so they don't receive further Messages of that kind. You must not try to get around suppression.
- Only mark a Message as transactional if it genuinely is one: a receipt, order or booking confirmation, account or security notice, or a similar message the recipient needs because of something they did. Transactional Messages are sent even to people who have opted out of marketing, so misusing this setting is a serious breach of these terms.
- We may apply sending limits and rate limits, and may pace, hold or pause sending to protect deliverability, our infrastructure, other customers or recipients. This includes cases where bounce or complaint rates, spam-trap hits or blocklistings show a problem.
7. Your data
- You own Customer Data. You give us a non-exclusive licence to host, copy, process and display it only as needed to provide, secure and support the Service, and as these terms otherwise allow.
- We process personal data in Customer Data as your processor under the data processing terms in section 12.
- You can export Customer Data while your account is open, using the Service's export and API features.
- You must not store data in the Service that our Acceptable Use Policy prohibits, such as payment card numbers or passwords.
- We may create anonymous, aggregated statistics about use of the Service, for example to plan capacity. These never identify you, your Users or your Contacts.
8. Our responsibilities
- We will provide the Service with reasonable skill and care, and maintain appropriate technical and organisational security measures (see our Privacy policy).
- We provide support by email at hello@organimate.co.uk during UK business hours. During the preview we don't offer an availability commitment, but we aim to keep planned downtime short and to give notice of it where we can.
9. Fees
Once paid plans apply to you, you will pay the fees in your order form or on our published pricing. Unless stated otherwise, fees exclude VAT and invoices are due within 30 days. We may change fees with at least 30 days' notice, taking effect from your next billing period. If an undisputed invoice is more than 14 days overdue after we have reminded you, we may suspend the Service until it is paid.
10. Intellectual property
We and our licensors own the Service and everything in it, apart from Customer Data. You may use the Service only as these terms allow. You must not:
- copy, modify, reverse engineer or decompile it, except to the extent the law allows despite this restriction;
- resell, sublicense or provide it to third parties as a service without our written agreement; or
- use it to build a competing product.
If you give us feedback or suggestions, we may use them freely and without obligation to you.
11. Confidentiality
Each party will keep the other's confidential information confidential, use it only for this agreement, and disclose it only to people who need it and are bound by similar duties, or where the law requires. This doesn't apply to information that is public, already known to the recipient, independently developed, or lawfully received from someone else without restriction.
12. Data processing terms
This section applies where we process personal data in Customer Data on your behalf. It forms the data processing agreement required by Article 28 of the UK GDPR.
12.1 Roles and details of the processing
- Roles: you are the controller and we are your processor.
- Subject matter and duration: providing the Service, for as long as this agreement lasts and until the data is deleted under section 12.8.
- Nature and purpose: storing, organising, segmenting and retrieving Customer Data; running your automation flows; sending your Messages and recording delivery and engagement events; providing recipient unsubscribe and preference pages; and providing support.
- Types of personal data: contact details (such as names, email addresses and phone numbers); consent, subscription and preference records; custom fields and records you define; message delivery, open, click, bounce and complaint events; and any other personal data you choose to put into the Service.
- Data subjects: your Contacts and recipients, your Users, and any other individuals whose data you put into the Service.
12.2 Instructions
We will process personal data only on your documented instructions. These terms, your configuration of the Service, and what you do in it are your instructions. The only exception is processing required by law, in which case we will tell you first unless the law forbids it. We will tell you if we believe an instruction breaks Data Protection Law.
12.3 Confidentiality and security
Everyone we authorise to process the data is bound by confidentiality. We will implement the technical and organisational measures required by Article 32 of the UK GDPR, including encryption in transit and at rest, logical separation of each customer's data, access controls and monitoring.
12.4 Sub-processors
You authorise us to use sub-processors to provide the Service. Our current sub-processors are listed in our Privacy policy. We will give you at least 30 days' notice of a new sub-processor. If you object on reasonable data protection grounds and we can't resolve it, you may end the agreement before the change takes effect. We will impose data protection obligations on every sub-processor that are no less protective than these, and remain responsible to you for their performance.
12.5 Assistance
Taking into account the nature of the processing, we will help you respond to requests from data subjects exercising their rights, mainly through the Service's features. We will also help you meet your obligations on security, breach notification, data protection impact assessments and consulting the ICO.
12.6 Personal data breaches
We will notify you without undue delay, and where feasible within 48 hours, after becoming aware of a personal data breach affecting Customer Data. We will give you the information you reasonably need to meet your own obligations, and take reasonable steps to contain the breach and reduce its effects.
12.7 International transfers
We store Customer Data in the UK. We will transfer it outside the UK only where UK adequacy regulations apply or with appropriate safeguards under Data Protection Law, such as the International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses.
12.8 Return and deletion
When the agreement ends, you may export Customer Data for 30 days. After that we will delete it within 90 days, unless the law requires us to keep it. Deleted data drops out of our rolling backups within 35 days.
12.9 Information and audits
We will make available the information reasonably needed to show compliance with this section, and allow for and contribute to audits by you or an auditor you appoint. Audits are on reasonable notice, at most once a year unless a regulator requires otherwise or there has been a breach, and subject to confidentiality.
13. Suspension
We may immediately suspend sending, specific features or your whole account if:
- we reasonably believe you are breaching these terms or the Acceptable Use Policy;
- your use presents a security risk, or could harm the Service, other customers, recipients or our providers;
- our email providers require it; or
- the law requires it.
We will tell you why, unless the law or security prevents it, and restore access once the problem is resolved where that is reasonable. We will suspend only as much as is needed.
14. Ending the agreement
- You may stop using the Service and close your account at any time.
- We may end the agreement for convenience with 30 days' notice. During the private preview, we may end it with 7 days' notice.
- Either party may end it immediately if the other materially breaches it and doesn't fix the breach within 14 days of notice, or at once if the breach can't be fixed. This includes serious or repeated breaches of the Acceptable Use Policy.
- When the agreement ends, your access stops, section 12.8 applies to Customer Data, and any fees due remain payable. Sections that by their nature should survive, including 10, 11, 15, 16, 17 and 19, continue to apply.
15. Warranties and disclaimers
Each party confirms it has the right to enter into this agreement. Except as these terms expressly say, the Service is provided without any warranty, condition or other term, whether express or implied, including as to satisfactory quality, fitness for purpose or uninterrupted, error-free operation, to the fullest extent the law allows. You are responsible for deciding whether the Service meets your needs, and for keeping your own copies of important data.
16. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
- Subject to that, neither party is liable for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.
- Subject to the first point, each party's total liability arising out of or in connection with this agreement in any 12-month period is limited to the greater of the fees you paid us in the preceding 12 months and £100.
- These limits don't apply to your payment obligations or to your indemnity under section 17.
17. Your indemnity
You will indemnify us against claims, fines, penalties and reasonable costs brought by third parties, including regulators and our email providers, arising from Customer Data, your Messages, or your breach of these terms, the Acceptable Use Policy or the law. We will tell you promptly about any such claim, let you control its defence where appropriate, and cooperate reasonably.
18. Changes
We continually improve the Service and may change it, provided we don't materially reduce its core functionality for paying customers during a paid period. We may update these terms. If a change materially affects you, we will give at least 30 days' notice by email or in the Service. We may give less notice where a change is needed for legal or security reasons. If you continue to use the Service after a change takes effect, you accept it. If you don't agree, you may close your account before then.
19. General
- Entire agreement: these terms, the Acceptable Use Policy and any order form are the whole agreement between us about the Service.
- Assignment: you may not transfer this agreement without our consent. We may transfer it to a successor to our business, and may use subcontractors, remaining responsible for them.
- Events beyond control: neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices: we will send notices to the account owner's email address. You can send notices to hello@organimate.co.uk or to 82a James Carter Road, Mildenhall, Bury St. Edmunds, England, IP28 7DE.
- No third-party rights: no one other than the parties has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce these terms.
- Severance and waiver: if any part of these terms is found unenforceable, the rest remains in effect. A delay in enforcing a right is not a waiver of it.
- Law and courts: these terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
